Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, client and staff portals, and related software provided by Design Loft Tampa, LLC ("Design Loft Tampa," "we," "us," or "our") at designlofttampa.com (collectively, the "Services"). These Terms also serve as the End-User License Agreement for our software. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. The Services
Design Loft Tampa operates a trade warehouse providing receiving, inspection, storage, and white-glove installation services for interior design firms and trade clients, together with an online portal for managing inventory, deliveries, invoices, and account information.
2. Accounts and Eligibility
The Services are intended for businesses and their authorized representatives. You must provide accurate information, keep your credentials confidential, and are responsible for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
3. License to Use the Software
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not transfer any ownership rights in the Services to you.
4. Acceptable Use
You agree not to:
- copy, modify, reverse engineer, decompile, or create derivative works of the Services;
- access the Services by any means other than the interfaces we provide, or attempt to gain unauthorized access to any account, system, or data;
- interfere with, disrupt, or place undue load on the Services or their security features;
- use the Services to store or transmit unlawful, infringing, or harmful content; or
- resell, sublicense, or provide the Services to third parties without our written consent.
5. Warehouse Services and Separate Agreement
Physical receiving, handling, and storage of goods are governed by the separate Design Loft Tampa Warehouse Agreement executed during onboarding, including its provisions on liability limitations, insurance obligations, warehouseman's lien, and rates. These Terms govern your use of the website and software. In the event of a conflict regarding warehouse services, the Warehouse Agreement controls.
6. Fees and Payment
Fees for services are set out in our current rate schedule and the Warehouse Agreement. Invoices are billed through QuickBooks and are due within fifteen (15) days. You may pay by ACH/check (preferred) or credit card; a 3.33% service fee applies to credit-card payments. Where you authorize a card on file, you permit us to charge that card for amounts due, including invoices unpaid after twenty (20) days, in accordance with the Warehouse Agreement. Card details are processed and stored by Intuit / QuickBooks Payments and are not stored by us.
7. Intellectual Property
The Services, including all software, text, graphics, and logos (other than your own marks), are owned by Design Loft Tampa or its licensors and are protected by intellectual-property laws. You retain ownership of the content and data you submit, and you grant us the rights necessary to operate the Services and provide our services to you.
8. Third-Party Services
The Services integrate with third-party providers, including Intuit / QuickBooks for billing and payments. Your use of those services is subject to their respective terms and policies. We are not responsible for third-party services.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.
10. Limitation of Liability
To the maximum extent permitted by law, Design Loft Tampa will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or relating to your use of the Services. Our total liability arising out of or relating to the Services is limited to the amounts you paid us for the Services in the twelve (12) months preceding the claim. Liability for physical goods is governed by the Warehouse Agreement.
11. Indemnification
You agree to indemnify and hold harmless Design Loft Tampa and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the Services or your violation of these Terms.
12. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or the Warehouse Agreement, or as necessary to protect the Services. Provisions that by their nature should survive termination will survive.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Hillsborough County, Florida, and you consent to their jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
